1. Acceptance of Terms

By accessing and using the Kaiji Textile website (kaijitextile.com), submitting an inquiry, requesting a quotation, ordering samples, or entering into any business relationship with Shaoxing Kaiji Textile Co., Ltd. ("Kaiji Textile," "we," "us," or "our"), you ("the Buyer," "you," or "your") agree to be bound by these Terms of Service ("Terms").

If you are acting on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not agree to these Terms in their entirety, you must not use our website or services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of the website or services after any modifications constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

2. Services Description

Kaiji Textile is a GRS-certified rPET fleece fabric specialist based in Keqiao, Shaoxing, Zhejiang Province, People's Republic of China. Our services include, but are not limited to:

• Fabric Supply: Manufacturing and supply of woven fabrics including functional fabrics, sportswear fabrics, workwear fabrics, printed polyester, and custom-developed textiles for bulk orders.
• Sample Provision: Free fabric swatches and samples subject to the terms outlined in our Shipping & Sample Policy.
• Custom Development: Custom dyeing, sublimation printing, finishing treatments, and fabric development services based on Buyer specifications.
• Quotation Services: Price quotations for bulk fabric orders based on specifications, quantity, and delivery terms provided by the Buyer.
• Logistics Coordination: Arrangement of international shipping via sea freight, air express, or courier services as mutually agreed.

All orders are subject to a separate sales contract or proforma invoice mutually executed by both parties. These Terms govern the use of our website and the general framework of our business relationship; the specific terms of each transaction shall be set forth in the applicable sales contract or proforma invoice.

3. User Obligations

When using our website and services, you agree to:

• Provide Accurate Information: Submit truthful, accurate, and complete information in all inquiries, quotation requests, sample orders, and purchase orders. You are responsible for maintaining the accuracy of your contact and shipping information.
• Lawful Use: Use our website and services only for lawful business purposes and in compliance with all applicable laws and regulations, including international trade laws and sanctions.
• No Misuse: Refrain from any activity that could damage, disable, overburden, or impair our website, including the introduction of viruses, malware, or other harmful code.
• Intellectual Property Respect: Not reproduce, duplicate, copy, sell, resell, or exploit any portion of the website content, product images, or technical documentation without our express written permission.
• Confidentiality: Maintain the confidentiality of any non-public information we share with you in the course of business, including pricing, technical specifications, and supply chain details.
• Timely Payment: Make payments in accordance with the terms specified in the applicable proforma invoice or sales contract.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe that your conduct violates these Terms or is harmful to our interests or the interests of other customers.

4. Intellectual Property

All content on the Kaiji Textile website — including but not limited to text, graphics, logos, icons, images, product photographs, technical specifications, fabric catalogs, design files, videos, and software — is the exclusive property of Shaoxing Kaiji Textile Co., Ltd. or its content suppliers and is protected by applicable intellectual property laws, including the laws of the People's Republic of China and international copyright treaties.

You may not:

• Copy, reproduce, distribute, or create derivative works from our website content without prior written consent.
• Use our trademarks, logos, or brand names without express written permission.
• Scrape, data mine, or otherwise extract content from our website by automated means.
• Use product images or technical documentation for purposes other than evaluating a potential purchase from Kaiji Textile.

Any custom fabric designs, specifications, or developments created by Kaiji Textile at the Buyer's request remain the intellectual property of Kaiji Textile unless otherwise agreed in a separate written agreement. Buyer-provided designs and artwork remain the property of the Buyer, and the Buyer warrants that such materials do not infringe any third-party intellectual property rights.

5. Limitation of Liability

To the fullest extent permitted by applicable law, Shaoxing Kaiji Textile Co., Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, business interruption, or reputational harm, arising out of or in connection with:

• Your use of or inability to use our website.
• Any errors, inaccuracies, or omissions in the content provided on our website.
• Any delays in delivery or non-delivery of products caused by circumstances beyond our reasonable control (see Force Majeure below).
• Any unauthorized access to or use of our servers and/or any personal information stored therein.

Force Majeure: Kaiji Textile shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, trade embargoes, labor disputes, material shortages, transportation disruptions, epidemics, or pandemics.

Cap on Liability: In any event, our total aggregate liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to Kaiji Textile in the twelve (12) months immediately preceding the event giving rise to the claim. For claims related to a specific order, liability shall be limited to the value of that specific order as set forth in the applicable proforma invoice.

6. Governing Law

These Terms of Service, and any disputes arising out of or relating to them or your use of our website and services, shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved through amicable negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the competent court in Shaoxing, Zhejiang Province, People's Republic of China.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or any transactions between the parties.
